Every BV has its own STAK

Every BV has its own STAK

The STAK is the foundation of your BV.

How a STAK works

A BV (private limited company) has shares. Whoever holds the shares is the boss of the BV and also receives its value.

A STAK is a foundation (stichting) that holds the shares of your BV. You are a director of that foundation. This way, you remain the boss of the BV.

The foundation issues depositary receipts for the shares. A certificate represents the value of a share. Whoever holds the certificates receives the value, but does not have a say in decisions.

In short:

  • The foundation holds the shares.
  • You run the foundation, so you decide.
  • The certificates are the value, and you can pass them on.

I have a question about this.

Lighters for whoever receives the certificates

Not everyone is eager to become a shareholder in a BV. For your son or daughter, that can sound heavy, as if they suddenly own a company.

With a STAK, that isn't necessary. They have no shares and no BV, only certificates. These represent the value, while you continue to run the BV. For them, that feels a lot lighter.

I have a question about this.

Lock in now what will apply later

When establishing the STAK, you set down the ground rules. That is the moment to think carefully about the future, and we take the time for that together. We guide the establishment from start to finish.

You are the director of the STAK. In addition, you are already deciding who will take over the board later, and how that will work in the situations that may arise. That way everyone knows where they stand, and the BV remains in the hands you yourself have chosen.

That is separate from who holds the certificates. All family members can receive certificates and thus share in the value, without having to do anything with the BV. Management lies with you, and later with whomever you designate for that.

I have a question about this

Simple pouring

Shares in a BV (private limited company) can only be transferred through a notary. Share certificates cannot. You can gift them in parts to your son or daughter year by year, at whatever pace suits you. The value passes on, while control remains with you.

Because you are making a gift, you can include a so-called exclusion clause (koude uitsluiting) directly in the deed of gift. This way the certificates remain outside any marital community of property of your son or daughter, and the assets stay within the family.

I have a question about this

Everything is taken care of online

Once the STAK is set up, you handle the rest online. The issuance of certificates, a donation to your son or daughter, and the decisions of the board: you record it and confirm it, and it is clearly presented. There's no need to bring in an expensive accountant or lawyer every time.

I have a question about this

First the STAK, then the BV

A STAK can be added later, but then the shares would still have to be transferred to the foundation via the notary. That is why you start with the STAK. The foundation then sets up the BV itself and is the shareholder from the very first moment. This way the foundation is solid from the start.

I have a question about this.

That's how it goes

  1. In a discussion, we will look at your situation and go through what is recorded in the STAK: who is in control, now and later.
  2. The notary establishes the STAK.
  3. The STAK establishes the BV through the notary and is immediately its shareholder.
  4. We are setting up the STAK online for you, so that you can then handle the certificates and donations yourself.

I have a question about this.

Quote for a STAK for your family

Request a quote for a STAK for your family. Choose what fits your situation.

I already have a BV, and I also want to set up a BV.
